предоставления онлайн доступа к Программному комплексу

для проектирования, изготовления и продажи корпусной мебели «К3-Мебель Плюс»

  1. ТЕРМИНЫ И ОПРЕДЕЛЕНИЯ

Программный комплекс – Программный комплекс для проектирования, изготовления и продажи корпусной мебели «К3-Мебель Плюс»;

Правообладатель – ООО Центр развития САПР «ГеоС»;

Онлайн Доступ к Программному комплексу – предоставление права использования Программного комплекса посредством сервиса доступа (личный кабинет) на интернет-сайте Правообладателя по адресу lk.k3-mebel.ru;

Онлайн Пользователь – лицо, которому предоставлен Онлайн Доступ к Программному комплексу;

Техническая поддержка – комплекс мер по сопровождению эксплуатации Программного комплекса, предоставляемый Правообладателем пользователю;

 

  1. УСЛОВИЯ ПРЕДОСТАВЛЕНИЯ ОНЛАЙН ДОСТУПА К ПРОГРАММНОМУ КОМПЛЕКСУ

2.1. Сфера действия.

2.1.1. Настоящие Правила регулируют условия и порядок предоставления Правообладателем Онлайн Доступа к Программному комплексу.

2.1.2. Онлайн Доступ предоставляется лицам, которые заключили соответствующий лицензионный договор в порядке, установленном пунктами 2.2.1-2.2.5 настоящих Правил.

2.1.3. Основные условия использования Программного комплекса устанавливаются Лицензионным соглашением о предоставлении права использования Программного комплекса для проектирования, изготовления и продажи корпусной мебели «К3-Мебель Плюс», которое является Приложением к настоящим Правилам (далее по тексу – «Лицензионное соглашение»).

Текст Лицензионного соглашения отображается в электронном виде на техническом устройстве Онлайн Пользователя при воспроизведении Программного комплекса (запуске дистрибутива) и при его функционировании (использовании Программного комплекса в соответствии с его назначением). Воспроизводя (устанавливая) Программный комплекс, Онлайн Пользователь выражает своё согласие принять условия данного Лицензионного соглашения в полном объеме.

2.1.4. Онлайн Пользователь вправе воспроизводить (устанавливать) Программный комплекс и использовать Программный комплекс в соответствии с его назначением.

2.1.5. Онлайн Пользователь вправе использовать Программный комплекс на территории всего мира.

 

2.1.6. Срок, на который предоставляется Онлайн Доступ.

2.1.6.1. При регистрации личного кабинета Онлайн Пользователем на интернет-сайте Правообладателя в порядке, установленном пунктом 2.2.1 настоящих Правил, Онлайн Пользователю однократно предоставляется бесплатный Онлайн Доступ к актуальной версии Программного комплекса суммарной продолжительностью 20 часов работы в Программном комплексе.

2.1.6.2. При совершении оплаты за предоставление Онлайн Доступа в порядке, установленном пунктом 2.2.3 настоящих Правил, Онлайн Пользователю предоставляется Онлайн Доступ к Программному комплексу на соответствующее размеру оплаты количество часов работы в Программном комплексе.

 

2.1.7. Стоимость одного часа работы в Программном комплексе устанавливается в Прейскуранте, утвержденном Приказом руководителя Правообладателя и размещённом на интернет-сайте Правообладателя по адресу k3-mebel.ru.

 

2.2. Порядок заключения лицензионного договора о предоставлении Онлайн Доступа к Программному комплексу.

2.2.1. Онлайн Пользователь регистрирует личный кабинет на интернет-сайте Правообладателя по адресу lk.k3-mebel.ru, используя интерфейс интернет-сайта, после чего Онлайн Пользователю предоставляется бесплатный Онлайн Доступ суммарной продолжительностью 20 часов работы в Программном комплексе.

2.2.2. При совершении оплаты за предоставление Онлайн Доступа в порядке, установленном пунктом 2.2.3 настоящих Правил, Онлайн Пользователю предоставляется Онлайн Доступ к Программному комплексу на соответствующее размеру оплаты количество часов работы в Программном комплексе.

2.2.3. Оплата за предоставление Онлайн Доступа совершается Онлайн Пользователем путем списания денежных средств со счета личного кабинета Онлайн Пользователя посредством использования опций интерфейса личного кабинета.

2.2.4. Регистрируя личный кабинет и совершая соответствующий платеж за предоставление Онлайн Доступа в порядке, установленном пунктами 2.2.1-2.2.3 настоящих Правил, Онлайн Пользователь подтверждает, что ознакомлен и согласен с условиями настоящих Правил.

2.2.5. Лицензионный договор о предоставлении Онлайн Доступа считается заключенным Правообладателем и Онлайн Пользователем на изложенных в настоящих Правилах условиях соответственно с момента регистрации  Онлайн Пользователем личного кабинета или совершения Онлайн Пользователем оплаты в соответствии с пунктами 2.2.1-2.2.3 настоящих Правил.

 

2.3. Требования к программно-аппаратным средствам и операционным системам Онлайн Пользователя.

 

2.3.1. Требования к программно-аппаратным средствам и операционным системам Онлайн Пользователя – характеристики, рекомендуемые для оптимального функционирования Программного комплекса:

 

2.3.2. Требования к программно-аппаратным средствам и операционным системам Онлайн Пользователя – минимальные системные требования для функционирования Программного комплекса:

 

2.4. Онлайн Пользователю предоставляется возможность использования актуальных версий Программного комплекса в любое время в период наличия у Онлайн Пользователя Онлайн доступа к Программному комплексу посредством обращения к соответствующим опциям интерфейса личного кабинета.

2.4.1. Предварительная версия Программного комплекса (предварительная сборка, preview) – версия Программного комплекса, предназначенная для тестового использования, ознакомления с новыми функциями и возможностями программы, выявления ошибок и недостатков программного обеспечения в реальных условиях эксплуатации; на сайте Правообладателя, в том числе в интерфейсе личного кабинета Пользователя, название такой версии содержит прямое указание, что она является предварительной (в отличие от доработанных версий Программного комплекса (стабильная сборка)).

Любой модуль Программного комплекса может иметь предварительную версию. Активация доступа  к предварительным версиям модулей Программного комплекса (предоставление права использования) осуществляется с помощью соответствующей опции интерфейса личного кабинета Онлайн Пользователя.

Предварительные версии Программного комплекса являются экспериментальными и могут содержать ошибки или неточности, приводящие к сбоям в работе, потере функциональности, повреждению или потере данных и/или информации, полученных в процессе работы Программного комплекса.

Предварительные версии Программного комплекса создаются для выполнения тестирования и не рекомендованы к использованию в существенно важных процессах проектирования и изготовления продукции.

Новые функции, представленные в предварительных версиях, могут быть изменены или удалены в последующих предварительных и стабильных сборках.

Онлайн Пользователь может вернуться к эксплуатации более ранней предварительной или стабильной версии Программного комплекса. При этом заказы, к3-файлы моделей, базы данных справочников, заказов, настроек, скрипты и другие элементы Программного комплекса, используемые более новой версией программы, могут быть не совместимы с предыдущими предварительными или стабильными версиями Программного комплекса. Создание резервных копий файлов и баз данных, необходимых для возврата к работе в предыдущих предварительных или стабильных версиях, обеспечивается Онлайн Пользователем самостоятельно.

 

  1. СПЕЦИАЛЬНЫЕ УСЛОВИЯ

3.1. Программный комплекс предоставляется Онлайн Пользователю в том виде, в котором он существует в настоящее время, со всеми дефектами, которые могут проявиться в процессе его использования. Онлайн Пользователь соглашается с тем, что никакое программное обеспечение не свободно от ошибок; соответственно Онлайн Пользователю рекомендуется регулярно создавать резервные копии файлов своих заказов (рабочих проектов). В целях выявления и устранения ошибок в Программном комплексе Стороны будут действовать в соответствии с положениями пункта 3.2 настоящих Правил.

3.2. Онлайн Пользователю может быть предоставлена техническая поддержка в порядке, установленном Правилами предоставления технической поддержки пользователям Программного комплекса для проектирования, изготовления и продажи корпусной мебели «К3-Мебель Плюс», утвержденными Приказом руководителя Правообладателя и размещёнными на интернет-сайте Правообладателя по адресу k3-mebel.ru.

При выявлении нарушения в работе в Программном комплексе Онлайн Пользователем, у которого комплекс мер технической поддержки неактивен или не подключен, такой Онлайн Пользователь вправе обратиться с сообщением, содержащим полную информацию о нарушении и последовательности действий, приводящих к его устойчивому проявлению, на адрес электронной почты support@k3-mebel.ru. Служба технической поддержки рассматривает такое сообщение в сроки, устанавливаемые  Службой технической поддержки самостоятельно (в зависимости от степени загруженности; приоритет отдается пользователям, у которых активен/ подключен комплекс мер технической поддержки), и, в зависимости от технической возможности, предлагает Онлайн Пользователю вариант решения вопроса.

3.3. Изменения в Правила предоставления онлайн доступа к Программному комплексу утверждаются руководителем Правообладателя и размещаются на интернет-сайте Правообладателя по адресу k3-mebel.ru. Пользователь обязуется регулярно посещать интернет-сайт Правообладателя для ознакомления с изменениями Правил предоставления онлайн доступа к Программному комплексу. Продолжая использовать Онлайн Доступ к Программному комплексу, Пользователь выражает согласие с соответствующими изменениями Правил предоставления онлайн доступа к Программному комплексу.

 

  1. ПЕРЕХОДНЫЕ ПОЛОЖЕНИЯ

4.1. Правила в настоящей редакции вступают с силу с 02.09.2024.

4.2. В случае если по договору, заключенному ранее 15.01.2024, срок, на который был предоставлен онлайн доступ в соответствии с Правилами предоставления онлайн доступа к Программному комплексу для проектирования, изготовления и продажи корпусной мебели «К3-Мебель», не окончился:

- начиная с 02.09.2024 онлайн доступ будет предоставляться в соответствии с  Правилами в настоящей редакции. При этом вступление в силу Правил в настоящей редакции не влечет изменения (возобновления, удлинения) срока, на который был предоставлен онлайн доступ, течение срока продолжается;

- начиная с 15.01.2024 в порядке, установленном пунктом 2.4 Правил, Пользователю предоставляется возможность использования актуальной версии Программного комплекса для проектирования, изготовления и продажи корпусной мебели «К3-Мебель Плюс».

  1. ПРЕДОСТАВЛЕНИЕ ПРАВА ИСПОЛЬЗОВАНИЯ ПРОГРАММНОГО КОМПЛЕКСА

 

  1. ОБЩИЕ ПОЛОЖЕНИЯ

1.1. На основании настоящего Лицензионного соглашения Онлайн Пользователю Программного комплекса для проектирования, изготовления и продажи корпусной мебели «К3-Мебель Плюс», исключительное право на который принадлежит Обществу с ограниченной ответственностью Центр развития САПР «ГеоС» (далее по тексту – «Онлайн Пользователь», «Программный комплекс» и «Правообладатель» соответственно), предоставляется право использования Программного комплекса на нижеприведенных условиях. Воспроизводя (устанавливая) Программный комплекс, Онлайн Пользователь выражает своё согласие принять эти условия в полном объеме.

1.2. Требования к программно-аппаратным средствам и операционным системам Онлайн Пользователя – характеристики, рекомендуемые для оптимального функционирования Программного комплекса:

  1. ПРАВА ОНЛАЙН ПОЛЬЗОВАТЕЛЯ

2.1. Онлайн Пользователь вправе воспроизводить (устанавливать) Программный комплекс и использовать Программный комплекс в соответствии с его назначением.

2.2. Онлайн Пользователь имеет право без какого-либо согласования с Правообладателем распространять любые файлы, являющиеся результатом использования Программного комплекса в соответствии с его назначением (модели, чертежи, прикладные библиотеки).

2.3. Онлайн Пользователь вправе использовать Программный комплекс на территории всего мира.

 

  1. ОБЯЗАННОСТИ ОНЛАЙН ПОЛЬЗОВАТЕЛЯ

3.1. Для целей настоящего Лицензионного соглашения:

Онлайн Пользователь не вправе самостоятельно либо силами третьих лиц вносить изменения в Программный комплекс (в том числе в целях его функционирования на технических средствах Онлайн Пользователя и исправления явных ошибок), за исключением случаев внесения Онлайн Пользователем изменений в системные скрипты, а также создания Онлайн Пользователем собственных скриптов, когда такая возможность внесения изменений в Программный комплекс Онлайн Пользователем в ходе использования Программного комплекса в соответствии с его назначением предусмотрена самим Программным комплексом.

3.2. Онлайн Пользователь не вправе передавать экземпляры Программного комплекса в целом (или его компонентов, включая эксплуатационную документацию) ни в какой форме третьим лицам, за исключением случаев, когда он получил предварительное письменное согласие Правообладателя на такую передачу.

3.3. Онлайн Пользователь не вправе копировать либо перемещать содержимое материального носителя с Программным комплексом или его компонентами на любые серверы в сети Интернет, осуществлять вскрытие защиты, декомпиляцию и дизассемблирование Программного комплекса или любых его компонентов.

3.4. Онлайн Пользователь обязуется соблюдать требования, содержащиеся в эксплуатационной документации Программного комплекса.

3.5. В случае если Онлайн Пользователь в процессе использования Программного комплекса получит от Правообладателя информацию о любых новых решениях и знаниях, в том числе не защищаемых законом, Онлайн Пользователь не вправе сообщать ее третьим лицам без письменного согласия Правообладателя.

3.6. Онлайн Пользователь обязуется указывать Правообладателя в публикациях, упоминающих Программный комплекс.

3.7. Правообладатель вправе предоставить Онлайн Пользователю демонстрационную версию Программного комплекса, предназначенную для ознакомления Онлайн Пользователя с функциональными возможностями программного продукта. При этом Онлайн Пользователь не вправе применять в предпринимательской деятельности результаты использования демонстрационной версии Программного комплекса.

 

  1. ТЕХНИЧЕСКАЯ ПОДДЕРЖКА ПРОГРАММНОГО КОМПЛЕКСА

4.1. Онлайн Пользователю может быть предоставлена техническая поддержка Программного комплекса в порядке, установленном Правилами предоставления технической поддержки пользователям Программного комплекса для проектирования, изготовления и продажи корпусной мебели «К3-Мебель Плюс», утвержденными Приказом руководителя Правообладателя и размещёнными на интернет-сайте Правообладателя по адресу k3-mebel.ru.

4.2. При выявлении нарушения в работе в Программном комплексе Онлайн Пользователем, у которого комплекс мер технической поддержки неактивен или не подключен, такой Онлайн Пользователь вправе обратиться с сообщением, содержащим полную информацию о нарушении и последовательности действий, приводящих к его устойчивому проявлению, на адрес электронной почты support@k3-mebel.ru. 4.3. Онлайн Пользователю предоставляется возможность использования актуальных версий Программного комплекса в любое время в период наличия у Онлайн Пользователя Онлайн доступа к Программному комплексу посредством обращения к соответствующим опциям интерфейса личного кабинета.

4.4. В случае когда возможность внесения изменений в Программный комплекс Онлайн Пользователем в ходе использования Программного комплекса в соответствии с его назначением предусмотрена самим Программным комплексом (пункт 3.1 настоящего Лицензионного соглашения) и такие изменения были внесены в Программный комплекс Онлайн Пользователем, при воспроизведении (инсталляции, установке) предоставленных Правообладателем обновлений Программного комплекса для исправления выявленных ошибок и добавления отдельных функций в Программный комплекс функционирование этих изменений не гарантируется. При наличии технических условий по согласованию за дополнительную плату возможны внесение Правообладателем изменений в программные модули экземпляра Программного комплекса и его адаптация в целях обеспечения функционирования внесенных Онлайн Пользователем изменений.

4.5. В случае когда возможность внесения изменений в Программный комплекс Онлайн Пользователем в ходе использования Программного комплекса в соответствии с его назначением предусмотрена самим Программным комплексом (пункт 3.1 настоящего Лицензионного соглашения) и такие изменения были внесены в Программный комплекс Онлайн Пользователем, при воспроизведении (инсталляции, установке) предоставленной Правообладателем новой версии Программного комплекса вместо экземпляра предыдущей версии Программного комплекса сохранение и функционирование этих изменений не гарантируется.

4.6. В случае когда возможность внесения изменений в Программный комплекс Онлайн Пользователем в ходе использования Программного комплекса в соответствии с его назначением предусмотрена самим Программным комплексом (пункт 3.1 настоящего Лицензионного соглашения) и такие изменения были внесены в Программный комплекс Онлайн Пользователем, при воспроизведении (инсталляции, установке) обновлений/ новой версии Программного комплекса изменения, сохранённые Онлайн Пользователем в системные  папки*, не сохраняются и не могут быть восстановлены.

* Системные папки – папки, которые разворачиваются на технических средствах Онлайн Пользователя при установке дистрибутива Программного комплекса.

 

  1. ОГРАНИЧЕНИЯ ОТВЕТСТВЕННОСТИ ПРАВООБЛАДАТЕЛЯ

5.1. Программный комплекс в целом соответствует его назначению и описаниям и предоставляется Онлайн Пользователю в том виде, в котором он существует (по принципу «как есть»), со стандартными для всех пользователей функциями и характеристиками, и предназначен для неопределённого круга пользователей.

Программный комплекс предоставляется Онлайн Пользователю в том виде, в котором он существует в настоящее время, со всеми дефектами, которые могут проявиться в процессе его использования. Онлайн Пользователь соглашается с тем, что никакое программное обеспечение не свободно от ошибок; соответственно Онлайн Пользователю рекомендуется регулярно создавать резервные копии файлов своих заказов (рабочих проектов). В целях выявления и устранения ошибок в Программном комплексе Стороны будут действовать в соответствии с положениями пункта 4.2 настоящего Лицензионного соглашения/ пункта 3.2 Правил предоставления онлайн доступа к Программному комплексу для проектирования, изготовления и продажи корпусной мебели «К3-Мебель Плюс».

5.2. Правообладатель не гарантирует возможности использования Программного комплекса в соответствии с его назначением в случае утери или порчи одного или нескольких компонентов Программного комплекса, а также если Программный комплекс (его компоненты) используется с аппаратными средствами, операционными системами и другим программным обеспечением, для которых он не был разработан, или используется не в соответствии с инструкциями по эксплуатации, включая инструкцию на версионную совместимость всех программно-аппаратных компонентов Программного комплекса.

5.3. Начиная использовать Программный комплекс, Онлайн Пользователь подтверждает, что ознакомился с Программным комплексом, его описанием и функциональными характеристиками на интернет-сайте Правообладателя по адресу k3-mebel.ru, а также оценил возможности Программного комплекса и его соответствие своим потребностям на примере работы демонстрационной версии, размещенной на интернет-сайте Правообладателя по адресу k3-mebel.ru.

5.4. Правообладатель не отвечает за любые убытки, включая упущенную выгоду, возникшие вследствие несоответствия Программного комплекса в целом и (или) отдельных его элементов ожиданиям Онлайн Пользователя и (или) ошибок, допущенных Онлайн Пользователем при использовании Программного комплекса.

5.5. Правообладатель не отвечает за любые убытки, включая упущенную выгоду, возникшие вследствие использования Программного комплекса, в том числе из-за возможных ошибок в Программном комплексе и (или) в технической документации.

5.6. В случае внесения Онлайн Пользователем изменений в системные скрипты работоспособность Программного комплекса не гарантируется. Правообладатель не отвечает за любые убытки, включая упущенную выгоду, возникшие вследствие внесения Онлайн Пользователем изменений в системные скрипты.

5.7. В случае редактирования Онлайн Пользователем базы данных справочников сторонними средствами, отличными от модуля "К3-Справочники", работоспособность Программного комплекса не гарантируется. Правообладатель не отвечает за любые убытки, включая упущенную выгоду, возникшие вследствие редактирования Онлайн Пользователем базы данных справочников сторонними средствами, отличными от модуля "К3-Справочники".

  1. КОМПОНЕНТЫ ПРОГРАММНОГО КОМПЛЕКСА

В состав Программного комплекса входят компоненты, представляющие собой программные продукты (программы для ЭВМ), используемые Правообладателем на нижеперечисленных условиях соответствующих лицензионных соглашений.
